Introduction

CodePrompt is a platform where mentors help students learn various programming languages via a 1:1 live interaction session and a real-time code editor.Kindly read our Terms of Use "Terms", "Agreement", "Terms of Service") carefully before using codeprompt.io (the "site") . This agreement sets forth the legally binding terms and conditions for your use of the site at codeprompt.io.

You acknowledge and agree that by (i) visiting, viewing, using, or accessing the CodePrompt service, (ii) clicking “Agree”, “Purchase”, “Submit”, or similar links, or (iii) signing or confirming a sales order or other agreement incorporating these Terms of Use, that you have read, understood, and agreed to be bound by these Terms of Use, irrespective of whether you are a guest or a registered user of the site. If you do not agree to these terms, we request that you do not access or use the site.

ACCESS AND USER ACCOUNTS

Access: There are different ways in which you may access or use this service. In each and every instance, you are only authorized to use the service if you agree to abide by all the applicable laws, rules, regulations, as well as this Terms of Use. You may access the service as:

  • a "Visitor," meaning any individual that browses any of our services, including, without limitation, through a PC/tablet/mobile or other devices without being a registered user; or an individual that has created a User Account but has not yet enrolled in a course
  • a "Student," meaning that you have created a User Account (defined below), registered and have enrolled in, and paid for access to courses and other CodePrompt’s services and/or content, and/or certifications provided by our Course Partners and that you intend to complete the applicable program, including the homework, assignments and exams, and other requirements related to those individual programs
  • a “Mentor”, meaning that you have a Mentor User Account and have entered into a services agreement with xLab, the parent company of CodePrompt, to provide mentoring services to the Students of CodePrompt

The term "User" refers to a Visitor, Student, Mentor, or any other person who participates, interacts with, or otherwise makes use of any of CodePrompt and its associated services.

User Accounts:In order to use, access, or take part in many of our services, including the online courses or to provide Mentor services, you must select a user identification name ("User ID") and a unique user password ("User Password") - collectively, a "User Account". You agree that you will not divulge or share access to your User Account with any third party for any reason.

In setting up your User Account, you may be prompted or required to enter additional information, including, but not limited, to your name, email address, country, and mobile number. Additional information may be required to confirm your identity upon setting up your User Account and/or thereafter. You understand and agree that all the information provided by you is accurate, current, and complete, and that you will maintain and update your information to keep it accurate, current, and complete. You acknowledge that if any information provided by you is untrue, inaccurate, or incomplete, we reserve the right to terminate your use of our services and your enrollment from any online courses, or mentoring session, to the extent applicable.

Student And Mentor Communications

Agreement to Receive Electronic Communications

If you are a Student or a Mentor, you expressly consent to electronically receive communications, agreements, documents, notices and disclosures, whether transactional or promotional. You agree that all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirements that such communications must follow. You agree that you have the ability to store such electronic communications such that they remain accessible to you in an unchanged form.

Agreement to Receive Calls or SMS Communication:

Providing us with a telephone number is optional; but if you have chosen to do so, you specify that you are the subscriber of the cellular service at the mobile number provided, or that you are authorized by the subscriber to sign up to receive communications by telephone or text messages on that number. You further consent to receive calls, and/or text messages from us where needed so that we may (i) notify you about activity connected with your User Account and any use thereof; (ii) provide you with services associated with our websites or online courses; (iii) troubleshoot problems with your User Account; (iv) resolve disputes; (v) collect debts; and/ or (vi) as otherwise necessary to service your User Account or enforce these Terms of Use, our policies, applicable laws, or any other agreement we may have with you.

PRIVACY

In association with your use of our service, we may collect, store, use, share, and/or process certain information about you and your interaction with our service. Kindly read our Privacy Policyfor more information.

Links To Other Sites:

Our website may contain links to other third-party sites that are not owned or controlled by CodePrompt. Trademarks of third-party sites, such as names and logos may be used on our website to identify these sites. We do not claim any ownership of those names, slogans, or logos. CodePrompt has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party site that you visit.

Intellectual Property

The website and its original content, features, and functionality are owned by CodePrompt. All logos and brand elements are protected by trademark rights or the law of passing off. You may NOT copy or use the original content on the website without our permission. You are encouraged to share links to our content instead.

All course information listed and course content used on the site is provided to CodePrompt by our Course Partners and we claim no responsibility of any inaccuracies in the data represented. We advise you to kindly contact the respective Course Partner in case of a dispute regarding course content and course material.

CodePrompt also does not claim ownership of the content uploaded by Users or Mentors.

Online Courses Provided By Course Partners

CodePrompt makes certain online courses available to students in partnership with, or on behalf of, its Course Partners.
Your access to such online courses may be granted to you through your single User Account. You acknowledge and agree that any online course affiliated with an Course Partner may be subject to terms, policies, and procedures of the applicable Course Partner in addition to CodePrompt’s Terms of Use.
If you are a student registered or enrolled with, or otherwise attending, an online course for credit or certification through a CodePrompt Partner, you acknowledge and agree that:

  • The Course Partner may have their own terms, policies, or procedures regarding your eligibility to participate in the online course, as well as requirements or prerequisites for receiving credit or certification for the online course
  • Your education/student records for the purposes of assigning credit or certification are maintained by the Course Partner, and not CodePrompt
Refund Policy & Dispute Resolution

Disputes are reviewed and handled on a case-by-case basis. If you have any concerns about a session, please email us at cancellation@codeprompt.io within 72 hours of your completed session.
If you cancel/modify your session/registration:

  • More than 7 calendar days before the first scheduled session- the full amount will be refunded to your account
  • Between 0-7 calendar days before the first scheduled session - 50% of the first session will be charged as a cancellation fee, and the cost of the remaining sessions will be fully refunded to your account
  • After attending your first session- 50% of the first session will be charged as a cancellation fee, and the cost of the remaining sessions will be fully refunded to your account, provided the cancellation is done within 3 days of session completion
  • More than 3 days after attending your first session- no refund will be initiated

Please note that no refunds will be made if you do not show up for an assigned session.
A refund in any of the above applicable scenarios will be initiated within 72 hours of receiving the request and the payment will be credited within 14 working days via the payment mode chosen while making the booking.
If you experience an issue during a mentoring session, you must submit a complaint at the end of the session by sending us an email at cancellation@codeprompt.io. CodePrompt may reach out to the concerned student and/or mentor to resolve the complaint, and when this occurs, the student and mentor are required to reply to our emails within 7 calendar days, otherwise we reserve the right to resolve the case in favor of the party that does respond to our emails ("responding party").
Mentors can refund students at any time before the he/she receives the payout for the session. Mentors are highly encouraged to refund students who are unsatisfied within reason during a mentoring session. We reserve the right to pause or delay the payout for a session if a dispute arises, or when a dispute may potentially arise.
After the dispute resolution process is initiated, if we do not receive a response from the student or mentor after 14 calendar days, we reserve the right to close the dispute.
When a dispute is being reviewed, CodePrompt reserves the right to use a third-party arbitration service to make a final decision about how the dispute should be handled.

PAYMENT TERMS

By enrolling in an online course or purchasing any of our services and providing CodePrompt with your payment information, you must hereby agree to these payment terms. To purchase any services or products offered by CodePrompt through its services, you must have access to the Internet and a valid accepted payment method as indicated during the payment process ("Payment Method"). You agree to CodePrompt, or its third-party payment providers, storing and accessing your payment information. You also agree to pay the applicable fees for the services or products you purchase through the CodePrompt services as they become due, whether in the form of a one-time payment or on a subscription basis. Fees may vary based on your location, the type of Payment Method used, where your Payment Method is issued, or other contractual arrangements. Your transaction with us may be subject to foreign exchange fees or differences in prices at the time of payment, because of exchange rates. CodePrompt does not support all payment methods, currency or locations for payment and may vary such offerings from time to time. Additionally, you understand and agree that not all promotions and pricing are available to all students, and that specific additional terms and conditions may apply to certain promotional programs, pricing, or geographic locations.
We reserve the right to modify, terminate, or otherwise amend the fees and features associated with your subscription. If we notify you a minimum of fifteen (15) working days in advance, your continued use of CodePrompt after the changes have been made will constitute your acceptance of the changes. If you do not wish to continue with the new fees or features, you may terminate your subscription by unenrolling.
Refunds: You can cancel/modify your session/registration by writing to us at cancellation@codeprompt.io. Please refer to our Refund Policy for more information.

Other than stated above for each form of enrollment, you hereby acknowledge and agree that CodePrompt will not offer refunds on any fees and charges related to your purchase of any products or services. This includes any partially used or unused periods for which you have already paid. We do not guarantee refunds for lack of usage or dissatisfaction. We may refund you if and only if there are any technical issues due to which you are not able to use our purchased services, after due consideration of the user’s request.

Credit Card Billing: Credit card payments are processed by our third-party payment partner(s), Instamojo and/or PayPal. By agreeing to this Terms of Use document, you agree to be bound by Instamojo’s and/or PayPal’s Terms of Service, as applicable. Any breach of those terms will be treated as a breach of our Terms of Use. If any fees are not paid in a timely manner, or our partner(s) are unable to process your transaction using the payment information provided, we reserve the right to terminate your access to our paid services.

Identity and Payment Verification

We do not assume responsibility for the accuracy of any student or mentor's identity.
However, for transparency and fraud prevention purposes, when you register for a CodePrompt account or thereafter, your account, identity, and payment method may be subject to verification by our team. When requested, you must provide us with information about your identity and payment method in order to use our platform. During this time, mentors may be asked to pause any ongoing work if the user has not provided CodePrompt with verification when requested.
You may be asked to provide any or all of the following: (i) one or more official government identification; (ii) proof that your identity matches the provided identification; (iii) proof that you have authorized usage or ownership of your payment method; (iv) proof that the credit card associated with your account is physically present, as permitted by applicable laws.
You authorize CodePrompt to make any inquiries necessary to validate your identity and confirm your ownership of your payment method and/or financial accounts.

Code of Conduct

In using our website and services, you agree to follow our Code of Conduct. Violations of our Code of Conduct may result in the immediate removal of your access to this site and/or restrictions on your access to our services.
In general, maintaining civility in communication is encouraged and expected. If you encounter someone who is negatively affecting your platform experience by either spamming you or insulting you, please report the user to us immediately.
We reserve the right to hide and/or remove any content on our site that may be illegal, unlawful, inflammatory or unethical.

User Code of Conduct

Users should not:

  • violate any applicable laws, regulations, or rules
  • have more than one account in order to abuse the site’s promotional or referral credits, attempt fraud, or for other unlawful and unethical reasons
  • reproduce, duplicate, copy, sell, resell, display, publish, transfer, distribute, create derivative works of, or exploit for any commercial purposes any portion of our services, online courses, any content, or any other aspect of our operations, other than explicitly allowed under this Terms of Use

  • reverse-engineer, decompile, disassemble or otherwise access the source code for any software that may be used to operate our service
  • use CodePrompt’s name, trademarks, service marks, or other associated materials, or to transmit any unsolicited communications or emails
  • use any high volume, automated, electronic, or third-party means to access the services including, but not limited to, robots, crawlers, browser plug-ins, spiders, or scripts (“add-ons”)
  • place pop-up windows over its pages, or otherwise affect the display of its pages
  • falsely state, impersonate, or otherwise misrepresent your identity including, but not limited to, the use of a pseudonym or misrepresenting your affiliations with a person or entity, past or present
  • force headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through our service
  • scrape any part of the website and/or the service either directly or using any add-ons
  • interfere with or disrupt the service or its servers, or networks connected to the service, or disobey any requirements, procedures, policies or regulations of networks connected to our service

In addition, you may not post, upload, transmit to, or otherwise make available through the service any content, communication, or other information (collectively, "unauthorized content"):

  • that is obscene, fraudulent, indecent, libellous, or that defames, abuses, harasses, discriminates against or threatens others
  • that contains any viruses, Trojan horses, worms, time bombs, cancelbots or other disabling devices, or any other harmful components intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information
  • that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under non-disclosure agreements)
  • that infringes the copyright, patent, trademark, trade secret, the right of publicity, or other intellectual property or proprietary right of any third-party
  • that violates the rights of other users of our service
  • that violates any applicable local, state, national or international law or otherwise advocates or encourages any illegal activity

Mentor Code of Conduct

Mentors should not:

  • solicit students to pay for services through a third-party platform. We can only guarantee authorized payments made via our platform
  • have more than one CodePrompt account, or share accounts. Mentors should not create multiple accounts to abuse the site’s promotional or referral credits/program, manipulate ratings/reviews, or attempt fraud. Doing so will result in the confiscation of all unpaid payouts, and your status as a mentor will be revoked
  • engage in any form of cheating. This includes completing graded assignments and/or tests for a student or helping a student to cheat on assignments and/or tests
  • engage in plagiarism
  • talk, harass, or intimidate students about their rating or reviews. If you have any concerns about a particular user, please report the user to us
  • make untruthful claims about your expertise, skills, or your ability to help
  • make promises you do not intend to honor (including scheduled sessions and freelance jobs)
  • provide assistance to students who may attempt fraudulent activity, or whose accounts are flagged. Doing so may result in not receiving payouts for work provided to the student(s)

If your account is found to violate any of the above guidelines, we reserve the right to revoke your status as a mentor on our platform and restrict your access to our services.

Student Code of Conduct

Students may not:

  • attempt to or coerce mentors into receiving payment via a third-party platform. If you do so and the mentor does not deliver, you will be fully responsible for your loss
  • have more than one account in order to abuse the site’s promotional or referral credits, attempt fraud, or for other unlawful and unethical reasons
  • engage in any form of cheating. You should not request mentors to do assignments or tests for you, and we cannot assist you if a dispute arises
  • harass mentors to provide you with free help
  • use low ratings or negative reviews to coerce mentors into doing more for you, such as, but not limited to, additional work or lowering the charge of a session
  • be untruthful about an issue being unsolved just to receive a refund. We review every dispute on a case-by-case basis
  • spam requests or send messages to mentors about things that are unrelated to our provided services
  • recruit mentors to join third-party services that are potentially competitive to CodePrompt. Please contact us directly at info@codeprompt.io if you would like to discuss any possible partnerships

If your account is found to violate any of the above guidelines, we reserve the right to disable your account and/or restrict your access to our services.

Additionally, if you are registered or enrolled as a student or mentor in, or otherwise attending, an online course provided by our Course Partner and have agreed to their Code of Conduct or "Honor Code," those terms shall also apply to you as a student or mentor.

Termination

We may terminate your access to the site if you are found to fall under certain unfavourable conditions specified earlier in this Terms of Use document, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. Limitation of Liability

We do our best to ensure a safe learning environment to the fullest extent possible, but do not warrant that our services run uninterupted, error-free, or free from other harmful content. Use of our services is at your own risk and liability. To the maximum extent permitted by law, CodePrompt shall not be liable for any incidental, indirect, special or consequential damage or loss of your data as a result of interacting with CodePrompt Partners.

You acknowledge and agree that the limitation of liablility set forth in this Terms of Use is reasonable and fair between you and associated CodePrompt parties which include members and entities providing information, content, and services to our site and our mentors.

MODIFICATION OF THIS TERMS OF USE

We reserve the right to change or modify this Terms of Use document at our sole discretion at any time. We will notify you of any changes to our Terms of Use. You are expected to accept any such changes in order to continue to use our service. If you choose not to accept such changes, we request that you cease using CodePrompt and CodePrompt associated services. Continued usage past the modified Terms of Use will be taken to mean that you consent to the updated terms. Any change or modification to these Terms of Use will be effective immediately after CodePrompt announces it on the website or applications, or as of the date indicated in the updated Terms of Use.
